TERMS OF SERVICE

1.1 Acceptance of Terms

By engaging with or purchasing services from Upshift Digital, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

Upshift Digital provides professional website design, SEO management, ongoing updates, and website maintenance on an affordable monthly retainer basis. The scope of services is subject to the plan selected at sign-up and may be adjusted with prior notice.

1.3 Subscription & Billing

All plans are billed on a monthly basis. By subscribing, you authorise us to charge your payment method on a recurring monthly basis via Paystack or PayFast. All fees are exclusive of applicable taxes.

1.4 Prices & Policy Changes

Prices and policies are subject to change at any time without prior notice to customers. It is the client's responsibility to review the current terms periodically. Continued use of our services constitutes acceptance of any updated prices or policies.

1.5 Cancellation

You may cancel your subscription at any time by contacting us at [email protected]. Cancellation takes effect at the end of the current billing period and you retain access to your services until that date. No partial-month refunds are issued.

1.6 Intellectual Property

All work delivered by Upshift Digital, including website designs, content, and configurations, becomes the property of the client upon settlement of all outstanding balances. We retain the right to display completed work in our portfolio unless otherwise agreed in writing.

1.7 Your Content

Any content, credentials, or materials you provide to us remain your property. We will handle such information confidentially and only use it to deliver your agreed services.

1.8 Prohibited Conduct

You agree not to use our services for unlawful purposes, provide false information during sign-up, attempt to resell our services without written permission, or request work that infringes the intellectual property rights of third parties.

1.9 Disclaimers

Upshift Digital does not guarantee specific SEO rankings, traffic volumes, or business outcomes. Results vary based on industry, competition, and other factors outside our control.

1.10 Limitation of Liability

To the maximum extent permitted by law, Upshift Digital shall not be liable for indirect, incidental, or consequential damages. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.

1.11 Governing Law

These Terms are governed by the laws of South Africa. Any disputes will be resolved through good-faith negotiation first, and failing that, through the appropriate South African courts.

1.12 Changes to Terms

We may update these Terms at any time without prior notice. Continued use of our services after changes constitutes acceptance of the revised Terms.

Payment details are processed securely via Paystack or PayFast — we do not store card numbers or banking credentials. We also retain any content, credentials, or materials you share with us to complete your website, as well as any emails or messages you send us.

We use your data to deliver and improve our services, process payments, send receipts and service updates, and comply with legal obligations. We do not send marketing emails without your consent.

2.4 Data Sharing

We do not sell your data. We share it only with our payment processors (Paystack, PayFast) and any infrastructure providers necessary to deliver your services. All third parties are bound to handle your data responsibly.

2.5 Data Retention

We retain your data for as long as your account is active, plus up to 3 years after closure for legal and accounting purposes.

REFUND POLICY

3.1 No Refund Policy

All payments made to Upshift Digital are non-refundable. Because our services involve time, labour, and costs committed from the moment work begins, we are unable to offer refunds on any monthly payments, whether partial or full.

3.2 Disputes

If you have a genuine concern regarding service delivery, please contact our support team at [email protected] or +27 81 614 0106 before taking any further action. We will review each case individually and, where applicable, may offer fair remuneration at our sole discretion. This does not constitute a right to a refund.

3.3 Cancellation

You are free to cancel at any time with no penalty by contacting us at [email protected]. Billing will stop at the end of your current billing period and services will continue until that date.

3.4 No Refunds Will Be Issued For

Change of mind after payment, dissatisfaction with results, accounts terminated due to policy violations, or unused portions of a billing period after cancellation. We encourage clients to raise any concerns with us directly before deciding to cancel — we are always willing to work things out.

3.5 Disputes & Chargebacks

Please contact us before initiating a chargeback or payment dispute. We are happy to discuss any concerns directly. Chargebacks filed without prior communication may result in immediate suspension of services.

ACCEPTABLE USE POLICY

This policy outlines what is and is not acceptable when engaging with Upshift Digital.

4.1 You May Not Request or Use Our Services To

Violate any applicable law or regulation, publish content that is defamatory, discriminatory, or illegal, infringe the intellectual property rights of others such as using unlicensed images or copied content, misrepresent your business or services on your website, impersonate any person or entity, or build a competing web design or SEO business using our work without written permission.

4.2 Consequences of Violation

We may suspend or terminate services immediately and without refund if we determine you have violated this policy. We reserve the right to report illegal activity to relevant authorities.
